"__________ is entitled to ________ Shares of One Hundred Dollars each, of the Capital Stock of THE DUNKIRK, ALLEGHENY VALLEY AND PITTSBURGH RAILROAD COMPANY, a Corporation existing under the laws of the States of New York and Pennsylvania; which are transferable on the Books of said Company, in person or by attorney, only on the surrender of this Certificate.

This Certificate is to be of no effect or validity unless countersigned by the Treasurer of the New York Central and Hudson River Railroad Company, the Transfer Agent of the said first named Company.

In Witness Whereof, this Certificate has been signed by the President and by the Treasurer of the said The Dunkirk, Allegheny Valley and Pittsburgh Railroad Company, this _____ day of ______ 187"
